Terms of Service

1. Introduction
These Terms of Service ("Terms") constitute a legally binding agreement between you and Hyrefox Consultants Limited (CIN: U74999RJ2018PTC061025), a company incorporated under the Companies Act, 2013, with its registered office at 828A, Frontier Colony, Adarsh Nagar, Jaipur, Rajasthan – 302004 ("Company", "we", "us" or "our") governing your access to and use of the Easyhyre platform, available at easyhyre.com and associated sub-domains, mobile applications, and APIs (collectively, the "Platform").
By clicking "I agree", completing account registration, or otherwise accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.
If you are accessing the Platform on behalf of a company or other legal entity, you represent that you have authority to bind such entity to these Terms, in which case the terms "you" and "your" shall refer to such entity. If you do not have such authority, you must not access or use the Platform.
2. Definitions
For the purposes of these Terms, the following definitions apply:
- Agency
- A recruitment consultancy or staffing firm that subscribes to the Platform to manage job mandates, engage vendors, and place candidates with employers.
- Vendor
- An independent recruiter, boutique staffing firm, or sub-agency engaged by an Agency through the Platform to source and submit candidates for open positions.
- Employer
- A company or individual that engages an Agency to fill job vacancies using the Platform.
- Candidate
- An individual who uses the Platform to apply for job positions or whose profile is managed on the Platform by an Agency or Vendor.
- User
- Any Agency, Vendor, Employer, Candidate, or other person accessing the Platform, including their authorised representatives.
- Content
- All information, data, text, software, photographs, graphics, audio-visual material, and other content submitted to or made available through the Platform.
- Subscription
- A paid plan that grants an Agency access to specific Platform features for a defined billing period.
- Candidate Data
- Personal data relating to a Candidate, including but not limited to name, contact details, resume, employment history, qualifications, and AI-generated assessments.
3. Eligibility and Account Registration
The Platform is intended for business use only. By registering, you represent and warrant that:
- You are at least 18 years of age;
- You have the legal capacity to enter into a binding contract;
- You are not barred from using the Platform under applicable law;
- All registration information you provide is accurate, current, and complete; and
- You will maintain the accuracy of such information.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at [email protected] upon becoming aware of any unauthorised use of your account. We will not be liable for any loss resulting from unauthorised use of your credentials.
We reserve the right to refuse registration, suspend, or terminate any account at our sole discretion, including where we reasonably suspect that the account is being used fraudulently, in violation of these Terms, or in a manner that may harm other Users or third parties.
4. Platform Services
4.1 Agency Services
Subject to a valid Subscription, Agencies may use the Platform to: create and manage job requisitions; onboard and manage Vendor relationships; review, shortlist, and advance Candidate applications; access AI-powered candidate screening; generate analytics and tracker reports; share read-only candidate snapshots with Employers via unique public links; and communicate with Candidates and Vendors via integrated WhatsApp messaging.
4.2 Vendor Services
Vendors may access job assignments shared by Agencies, submit Candidate profiles, track submission status, and communicate through the Platform. Vendor access is contingent on completion of KYC verification and approval by the relevant Agency.
4.3 Candidate Services
Candidates may create profiles, browse publicly listed job positions, apply to positions, track their application status, and communicate with recruiting parties via WhatsApp. Candidates' personal data is processed as described in our Privacy Policy.
4.4 Service Availability
We will use reasonable endeavours to make the Platform available 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted availability. The Platform may be temporarily unavailable due to scheduled maintenance, emergency maintenance, or events beyond our reasonable control. We will use commercially reasonable efforts to provide advance notice of scheduled downtime.
5. Subscriptions, Fees and Billing
5.1 Subscription Plans
Access to Agency features requires a paid Subscription. Details of current Subscription plans, including features, pricing, and billing cycles, are available on the Platform. We reserve the right to modify pricing with not less than thirty (30) days' prior written notice.
5.2 Payment
All fees are payable in Indian Rupees (INR) unless otherwise stated. Subscription fees are charged in advance for the applicable billing period. You authorise us to charge your designated payment method for all fees due. If a payment fails, we may suspend your access until payment is received.
5.3 Taxes
All fees are exclusive of applicable taxes, including Goods and Services Tax (GST). You are responsible for all taxes applicable to your use of the Platform. Our GSTIN is 08AAECH5205M1ZH. Where GST is applicable, it will be added to your invoice at the prevailing rate.
5.4 Refunds
Refunds are governed by our Refund and Cancellation Policy.
6. AI-Powered Features
The Platform incorporates AI-generated candidate screening scores, diagnostics, and qualitative assessments produced by automated language models ("AI Features").
- No Employment Decisions. AI Feature outputs are informational and supplementary only. They must not be used as the sole or primary basis for any employment decision, including shortlisting, rejection, or hiring. You remain entirely responsible for any employment decisions made using or informed by AI Features.
- Accuracy Not Guaranteed. AI Features may produce errors, omissions, or assessments that do not accurately reflect a Candidate's qualifications or suitability. We make no warranty as to the accuracy, completeness, or fitness for purpose of any AI-generated output.
- Non-Discrimination. You must not use AI Features in a manner that discriminates on the basis of gender, caste, religion, race, disability, age, or any other protected characteristic under applicable law, including the Equal Remuneration Act, 1976, and the Rights of Persons with Disabilities Act, 2016.
- Data Input. The quality of AI outputs depends on the data provided. You must ensure that Candidate Data submitted to the Platform is accurate and obtained with appropriate consent.
7. WhatsApp Integration
The Platform integrates with WhatsApp Business API to facilitate communication between Agencies, Vendors, and Candidates. By using the WhatsApp integration:
- You confirm that Candidates have provided valid consent to receive WhatsApp communications from you in connection with their application or employment;
- You must not use the WhatsApp integration to send unsolicited messages, spam, or content that violates WhatsApp's Business Policy or applicable Telecom Regulatory Authority of India (TRAI) guidelines;
- You acknowledge that WhatsApp is a third-party service operated by Meta Platforms, Inc., and that its terms and policies apply independently to your use of that service; and
- We are not responsible for the availability, accuracy, or performance of the WhatsApp service, or for any loss arising from its unavailability.
8. Public Candidate Profile Links
Agencies may generate a unique, unguessable URL (a "Public Link") to share a read-only snapshot of a Candidate's application with Employers or other authorised recipients.
- Candidate Consent. You must ensure that the Candidate has given informed consent to their profile being shared externally before generating or distributing a Public Link.
- Revocation. You may revoke a Public Link at any time by rotating the token through the Platform. Upon revocation, the previously shared URL will return a "not found" response.
- Your Responsibility. You are solely responsible for the distribution of Public Links. We are not liable for any consequences arising from you sharing a Public Link with unauthorised parties.
- Data Minimisation. Public Links expose only the data fields permitted by the Platform's design. Internal recruiter notes, conversation logs, contact details, and stage history are not included.
9. User Content and Data
9.1 Ownership
You retain ownership of all Content you submit to the Platform. By submitting Content, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, process, display, and transmit such Content solely for the purposes of operating and improving the Platform.
9.2 Accuracy
You represent and warrant that all Content you submit is accurate, not misleading, and does not infringe any third-party intellectual property, privacy, or other rights.
9.3 Candidate Data Obligations
Where you submit Candidate Data, you represent and warrant that you have obtained all necessary consents and have a lawful basis for processing such data under the Digital Personal Data Protection Act, 2023 ("DPDP Act") and all other applicable data protection laws. You agree to indemnify and hold us harmless from any claim arising from your failure to obtain adequate consent.
9.4 Prohibited Content
You must not submit Content that:
- is false, misleading, defamatory, or fraudulent;
- infringes any intellectual property, privacy, or publicity right;
- contains malware, viruses, or other harmful code;
- violates any applicable law or regulation; or
- discriminates against individuals based on a protected characteristic.
10. Prohibited Conduct
You must not:
- Use the Platform for any unlawful purpose or in violation of these Terms;
- Attempt to gain unauthorised access to any part of the Platform or another User's account;
- Reverse-engineer, decompile, disassemble, or create derivative works based on the Platform;
- Use automated means (bots, scrapers, crawlers) to access the Platform without our prior written consent;
- Introduce any virus, Trojan horse, worm, logic bomb, or other harmful material;
- Interfere with or disrupt the integrity or performance of the Platform or its servers;
- Harvest or collect User data without consent;
- Impersonate any person or entity or misrepresent your affiliation;
- Use the Platform to solicit or poach candidates or clients of other Users; or
- Circumvent any technical measures we use to provide the Platform.
11. Intellectual Property
All intellectual property rights in the Platform — including its software, design, trademarks, trade names, service marks, logos, databases, and documentation — are owned by or licensed to us. Nothing in these Terms transfers any intellectual property right to you.
We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely in accordance with these Terms for your internal business purposes. This licence terminates automatically upon expiry or termination of your account.
12. Confidentiality
Each party may have access to information that is confidential to the other party ("Confidential Information"). Each party agrees to: (a) keep Confidential Information strictly confidential; (b) not use Confidential Information except as necessary to exercise rights or perform obligations under these Terms; and (c) disclose Confidential Information only to employees, contractors, or agents who have a need to know and are bound by equivalent confidentiality obligations.
Candidate Data is Confidential Information of the respective Candidate and must be treated with particular care. You must not disclose Candidate Data to third parties other than as required to facilitate the legitimate recruitment process or as required by law.
13. Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
We do not warrant that: (a) the Platform will be available at any particular time; (b) any errors will be corrected; (c) the Platform is free of viruses or harmful components; or (d) the results obtained from use of the Platform will be accurate or reliable.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) INDIAN RUPEES TEN THOUSAND (INR 10,000).
Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.
15. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; (d) your Content; or (e) your violation of any third-party right, including any intellectual property, privacy, or contractual right.
16. Termination
Either party may terminate the agreement formed by these Terms at any time: you, by closing your account and ceasing use of the Platform; us, by giving thirty (30) days' notice for convenience, or immediately upon notice if you breach these Terms in a material respect or engage in prohibited conduct.
Upon termination: (a) all licences granted to you cease immediately; (b) you must cease use of the Platform; and (c) we may delete your account data in accordance with our data retention policy set out in our Privacy Policy. Clauses 9.1, 11, 12, 13, 14, 15, 17, and 18 survive termination of these Terms.
17. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. The courts of Jaipur, India, shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to the arbitration clause below.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended. The seat of arbitration shall be Jaipur, India. The arbitration shall be conducted in the English language before a sole arbitrator appointed by mutual agreement. The arbitrator's award shall be final and binding.
18. Modifications
We may modify these Terms at any time. If we make material changes, we will provide at least thirty (30) days' notice by email to the address registered with your account, or by a prominent notice on the Platform. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Platform before the effective date.
19. General
19.1 Entire Agreement
These Terms, together with the Privacy Policy and any other agreement expressly incorporated herein, constitute the entire agreement between you and us relating to the Platform and supersede all prior agreements, representations, and understandings.
19.2 Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
19.3 No Waiver
Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
19.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations.
19.5 Force Majeure
We will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, pandemic, government action, power failure, Internet outages, or third-party service failures.
